Legal Department The Legal team is responsible for managing the company's legal affairs from compliance through litigation, collaborating with departments such as Sales, Operations, Human Resources, and Innovation along the way. The Legal team also works closely with external law firms to develop a comprehensive legal strategy and manages these partners to address issues efficiently and effectively. Unlike many other companies where legal roles are purely advisory, Vantage distinguishes itself by granting our legal staff the authority to directly influence business decisions. This empowers our internal team to align legal strategies with long-term operational goals, risk management, and cost efficiency to deliver outcomes that support corporate objectives. Position Overview This role can be based in San Fransico Bay area/Santa Clara, CA, Phoenix, AZ, Denver, CO. Or remote, US. The Leasing Attorney is responsible for legal support of client agreements in North America, including data center leases, service agreements, tenant order forms, and related documents. In addition to providing excellent legal expertise and support, the Leasing Attorney brings a proactive, business, and solution-oriented mindset to legal matters, an enterprise lens, and a proven ability to work collaboratively across the organization. The Leasing Attorney has data center or related technology expertise, in-house or law firm experience, strong business acumen, enterprise leadership, passion for growing a business, and experience in continuous improvement and driving enhancements that benefit the Company. Essential Job Functions Legal Guidance and Negotiation: • Provide legal guidance and negotiation expertise for data center transactions in North America. • Draft and negotiate data center agreements with hyperscalers, large wholesale, and enterprise clients, including, without limitation, tenant order forms, change orders, non-disclosure agreements, letters of intent, subordination, non-disturbance, and attornment agreements, service orders, lease agreements, colocation agreements, development agreements, master service agreements, and related documents. • Draft commencement notices, delay notices, and other correspondence relating to client agreements. • Prepare summaries and abstracts of client agreements and provide guidance on the terms of client agreements. • Review and revise after-action reports and similar documents for incidents and other circumstances related to client agreements. • Provide legal guidance with respect to compliance initiatives for client agreements. • Provide proactive and strategic-level advice that enables Vantage to achieve its business and strategic objectives while fully and appropriately managing and leveraging legal risk. Cross-Functional Collaboration: • Work with cross-functional teams to gather input and consensus on technical, operational, and compliance aspects of data center transactions. • Serve as a strategic partner by providing practical, business-focused, and sound legal advice to North American Sales, Finance, Corporate Development, and Operations teams. Contract Management and Compliance: • Assist with the development and updates to client-related agreement templates and provide counseling on the use of such templates. • Provide legal analysis of client agreements in support of certain business development and financing transactions, including document review and due diligence. • Ensure compliance with legal and regulatory requirements related to client agreements. Client Relationship Management: • Assist with all legal matters involving client relationships. • Support the development, implementation, and management of methodology improvements in the client negotiation process and resolve legal issues that arise in existing client relationships. • Support global legal strategy for client agreements, including contract management and governance. Additional Duties: • Handle additional duties as assigned by Management. Job Requirements Education: • JD from an ABA accredited law school and admission to a State Bar. • Working knowledge of commercial real estate. Experience: • 7+ years of relevant legal experience. • Experience within the data center industry strongly preferred. Skills: • Strong organizational and project management skills. • Strong written and verbal communication skills. • Well-rounded lawyer who is also a practical and business-minded executive. • Strong communication, negotiation, and legal writing skills. This responsibility includes oversight of facility acceptance testing, mechanical system maintenance planning, and Facility Operations technical support. Requirements for this position include full familiarity with mechanical systems arrangements, equipment types, system automation and control components. The Reliability Engineer candidate understands component failures and the extended effects of those failures on the larger cooling system as well as appropriate mitigating actions. Also required is an understanding of cooling system theory, an ability to read drawings and schematics, and an ability to identify likely failure points in design. The mechanical reliability engineer acts as an advisor for Site Operations to reference as needed and has enough experience to train technicians to the level of effective troubleshooting. The mechanical systems Reliability Engineer regularly interfaces the Vantage Design Engineering team, the Automation Systems Group, and Facility Operations teams. Essential Job Functions System Validation and Testing: Ensure newly built systems meet design intent and perform without issue during the facility acceptance testing phases of new construction. Review commissioning plans and ensure the thoroughness of startup testing. Attend factory witness testing to verify and validate equipment functionality. Vantage is seeking a proactive and diligent Senior Cost Analyst to join the Construction Cost Finance department. This role will be critical in maintaining and improving the construction accounting database, reporting suite, and controls. The Senior Cost Analyst will work closely with the larger Finance group and with the Design and Construction functions to produce insightful reporting for key business stakeholders. Essential Job Functions Project cost reporting: Ensure actual construction costs align with forecasted expectations. Support Construction Administration (“CA”) of contracts. QA/QC for project costs to date, cost coding, and monthly forecasts. Provide technical accounting expertise on Fixed Assets and Leases under IFRS GAAP, including oversight of fixed assets and leasing issues/risks. Construction cost accounting operations: Manage data inputs between Yardi and Procore. Carry out pay application billing review and data entry. Review CAPEX AP invoices and progress billing entry. Review and issue Debtors and Invoice reports. Construction cost reporting: Own and maintain various KPI schedules. Define, create, and maintain various databases related to projects and contracts to provide accurate and relevant data or analysis to top management. A high-level understanding of system integration, project management, commissioning, and process execution is required to provide informative project issue mitigation when challenges arise. • Primary Automation Systems team design and engineering interfacing resource. • Support pre-bid planning, coordination, and execution strategies to ensure quality design and engineering deliverables. • Support internal Innovation and Design Engineers teams to ensure standards and design engineering initiatives are adhered to throughout the automation design process. • Leads automation project design activities, which includes partnerships and collaboration with: • (EOR) Engineer of record and Design Systems Integration teams. • Automation construction teams regarding automation scope of work development, automation design deliverables, and factory acceptance testing. • Support Sales, Design Engineering, and Services to develop project requirements based on market demands or customer requirements. • Provide technical leadership regarding automation issue mitigation to support delivery and commissioning schedules throughout the project lifecycle.
