Job Summary: The Manager, Transfer Pricing, will oversee and direct complicated valuation projects for premier clients that are typically venture capital backed technology firms. This person will interact directly in person, via phone and email with executive leadership of these companies including Chief Executive Officers and Chief Financial Officers. The Manager understands and knows how to execute and manage highly technical analyses in the valuing of business enterprises and their securities. This person also is comfortable managing a team to ensure consistent, thoughtful, accurate, compliant, high quality work is being performed and delivered to clients. Duties and responsibilities, as they align to Ryan's Key Results People: • Manage Senior Analysts and Analysts in executing valuation, consulting, and transfer pricing work. • Create a positive team member experience. Client: • The Manager will be able to review work in detail and ensure clients receive top quality, accurate, thoughtful work. • Respond to client inquiries and requests from tax authorities. Value: The job requires a strong grasp of the following analyses: • Discounted Cash Flow Analysis • Comparable Merger and Acquisition Transaction Analysis • Comparable Public Company Multiple Analysis • First-Chicago Valuation Analysis • Sum-of-the-Parts Analysis • Cost-to-Recreate Analysis • Liquidity Analysis • Accretion/Dilution Analysis • Leveraged Buy-Out Analysis • Monte Carlo Simulation Analysis • Black-Scholes Analysis • Synthetic Put Analysis • Lattice Analysis. These skills and analyses are used to value business enterprises as well as complex securities within those enterprises. These complex securities may include, but are not limited to: • Preferred Securities • Warrants • Stock Options • Put/Call Options • Limited Partnership Interests • Convertible Notes • Simple Agreements for Future Equity (SAFE's) • Common Stock or LLC Units • Other Synthetic Instruments. The Manager will also need to understand how to determine appropriate discounts for lack of marketability and lack of control for equity securities as appropriate. Education and Experience: The above duties require a bachelor's degree in finance, Accounting, Economics, or some quantitative discipline because of the complexity of the position. These duties are complex because they require in depth knowledge of account and financial analysis and the application of highly technical financial frame works named above. Should have four or more years of directly applicable experience. Computer Skills: To perform this job successfully, an individual must have intermediate knowledge of Microsoft Word, Access, Excel, PowerPoint, Outlook, and Internet navigation and research. Responsibilities include expanding and cross-selling within client relationships and researching, initiating, and developing new business relationships for the Firm by targeting qualified prospects. The Manager would partner working closely with a small team of Client Services Directors and Principal. Within this Team they will assist with the business development pursuit of existing Clients and Prospects. Client: • Work closely with a team of Client Services and Service Delivery team members assisting with all stages of business development: • Meets with prospects and clients regarding potential engagements. • Identifies, researches, and pursues prospects and clients to generate new business for the Firm. • Makes cold calls and maintains contact with prospects and clients through telephone and email. • Build and maintains key relationships with Firm prospects and clients. • Attend business development meetings with prospects and clients, both locally and nationally, to generate new leads. • This role includes accountability for CPA channel relationship pursuit and management, including strategic engagement with CPA firms to generate referrals and strengthen Ryan's market presence. • Successful Ryan members embrace and live Ryan's values of Pursue Excellence, Wired to Win, Generosity Matters, Build Trust, and Integrity Always, and will embody and demonstrate accountability. • Develops responses to requests for engagement letters, MSA, agreements and proposals. • Maintain a deep understanding of the Firm's service offerings to discuss them confidently with prospects and clients. • Stay informed on alliance partners' products and service lines to position them effectively. • Utilizes Internet tools (i.e., OneSource) to uncover opportunities for prospects and clients. • Ensure client satisfaction by monitoring timely service delivery and adherence to Client Service Principles. • Anticipate client issues and needs proactively. Value: • Maintains entries in the Firm's Prospect Register and/or Salesforce.com. • Coordinates sales efforts with Client Services and Service Delivery team members to perform joint-selling activities. • Stays current on tax issues that may create sales opportunities with prospects and clients. • Generates necessary documentation to assist in deal closing (presentations, engagement letters, etc.). • Generally, understands business issues and quickly understand commercial drivers at Ryan, and recognize areas for operational improvement, risks, and re-engineering. • Assists with other projects and duties as needed. Education and Experience: Bachelor's degree with 5+ years of experience including Business Development. Computer Skills: • To perform this job successfully, an individual should be proficient in using the following applications or systems: • Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, etc.) • Document Management Systems; such as, Microsoft SharePoint, Google Drive, Dropbox or eFileCabinet • ERP (Enterprise Resource Planning) for entering time and billing information; such as, Workday, PeopleSoft, Oracle or SAP • CRM (Customer Relationship Management) experience in entering, reviewing and reporting sales information; such as, Salesforce, Microsoft Dynamics, OnContact, or NetSuite.
