## Key Role Overview The Mergers & Acquisitions (M&A) Sr Corporate Counsel is responsible for supporting and executing legal work on mergers, acquisitions, and other high-level commercial transactions. The role provides counsel across related legal areas including employment law, real estate, regulatory compliance, and corporate venture capital initiatives, and supports due diligence, integration, and Board reporting related to M&A activities. ## Key Responsibilities - Draft documents, negotiate and provide counsel with respect to mergers, acquisitions, and other commercial transactions. - Ensure personnel of newly acquired operations are trained to comply with company policy and federal, state and local laws, rules and regulations. - Assist with employment and human-resources related legal matters. - Review, interpret and negotiate contracts. - Participate in the completion of real estate purchase and sale transactions as part of M&A. - Research substantive law and prepare various reports as required. - Manage the compliance portion of the due diligence process related to mergers and acquisitions. - Prepare reports for the Board of Directors related to the M&A process. - Participate in the integration and on-boarding of acquired targets. - Assist in providing legal support for initiatives within the company’s corporate venture capital group. - Perform other duties as required. ## Required Qualifications - Law degree (JD) from an ABA-accredited U.S. law school. - Admitted to practice law in at least one state. - Minimum 5 to 10 years of experience as a practicing attorney with experience in M&A transactions. ## Preferred Qualifications - Experience handling employment law, real estate, and regulatory matters in the context of corporate transactions. - Prior involvement with corporate venture capital initiatives, integrations, or Board reporting. ## Compensation & Benefits - Salary range: Not specified in the posting. - Benefits: Not specified in the posting. ## Additional Information - Work arrangement: Based in Grand Rapids, MI (on-site expectation implied). - The Company is an Equal Opportunity Employer. - Company culture notes in the posting highlight a long-standing, profitable organization with a competitive, family-oriented, collaborative environment and multiple opportunities for career advancement.
