Overview: The Director, Contracts Operations & Compliance leads the organization’s contracting function, ensuring efficient operations, governance, and regulatory compliance across prime contracts, subcontracts, MSAs, and related agreements. This role designs and manages workflows, maintains audit-ready repositories, enforces escalation and approval controls, and oversees agreement reviews and negotiations in alignment with FAR/DFARS, agency requirements, and client-specific requirements. Acting as a strategic partner, the Director supports proposals and prime contract management, drives risk mitigation, and leads a small team to build capacity and training. This position will advance contracts system modernization and security compliance initiatives to safeguard contractual integrity and enable business growth. Responsibilities: Contracts Operations, Governance & Compliance • Own day-to-day contract operations across prime contracts (10%), subcontracts (80%), MSAs (10%), POs / TOs, modifications, NDAs, and teaming agreements; maintain a well-oiled operations machine for a high request volume environment • Design and run intake, triage, and workflows; establish prioritization logic • Maintain central repositories to ensure audit readiness and traceability • Maintain and update a Contracts RACI across the lifecycle from capture through closeout • Define and enforce escalation pathways and thresholds for terms and conditions • Implement controls for clause deviations, redline, and approvals • Maintain a contracts playbook • Coordinate CUI handling expectations and CMMC / security-related contract requirements with our IT and FSO units Agreement Reviews • Lead subcontract and MSA review / negotiation • Interpret and apply FAR / DFARS and other agency supplements; manage representations & certifications and flow downs to subcontractors • Ensure compliance with, and promote organizational training and awareness of, applicable federal regulations including the Service Contract Act • Conduct and document Organizational Conflicts of Interest (OCI)_reviews and mitigation plans Prime Contract Management & Changes • Oversee compliance with our prime contract vehicle T&Cs, to include quarterly reporting (i.e., small business subcontracting plan reports) • Partner with PMs to manage and regular modifications that include funding and clause updates for our subcontractors RFP and Proposal Support • Provide front-end contractual guidance in capture and proposals; shape T&Cs, exceptions lists, and risk registers • Develop standard compliance matrices and assumptions Team Leadership & Development • Lead a small contracts administration staff; establish capacity planning and quality controls • Build training curricula for junior staff • Coach cross-functional partners on contracts processes and T&Cs Systems Roadmap • Partner with IT and other stakeholders to define requirements, selection criteria, integrations, data migration, and an adoption plan for an eventual CMS implementation Education and Experience: • Bachelor’s degree in a related field • 11-16 years of contracts experience with emphasis in the Federal services subcontracts space • 3+ years of supervisor experience Qualifications: • Deep knowledge of FAR, DFARS, agency supplements, and federal contracting requirements, including flow downs and OCI mitigation. • Familiarity with CUI handling, CMMC, and security-related contract obligations. • Experience with contract lifecycle management systems and process automation. • Strong negotiation and agreement review skills for complex subcontracts and MSAs. • Ability to design and implement governance frameworks, escalation pathways, and approval controls. • Exceptional organizational skills with a focus on audit readiness and risk management. • Strategic thinker with capability to support capture and proposal efforts. • Effective communicator and coach for cross-functional teams. • Demonstrated ability to lead, mentor, and develop a contracts administration team. • Skilled in capacity planning and building training programs. • Must have or be able to obtain a U.S. Department of Defense (DoD) SECRET Clearance • Preferred: NCMA Certification (CPCM or CFCM) Discover What Take2 Has to Offer You: • An opportunity to profoundly influence the course of a rapidly growing company, where your efforts will be acknowledged and commemorated.? • An extensive benefits package comprising Unlimited Paid Time Off (PTO), 11 Holidays, Health/Vision/Dental coverage, a 401k Match, and additional perks.? • We value work-life balance.
