Own the Deal. Drive the Close. We’re looking for a Deal Quarterback / Financial Analyst who lives at the intersection of project management, financial analysis, and deal execution. Not a junior analyst. Not an administrative coordinator. You’re the person who keeps the deal moving, the numbers tight, and the parties aligned from LOI → close. If you love financial models and taking ownership of timelines, communication, and outcomes — keep reading. If you need hand-holding or constant direction, this isn’t for you. ABOUT THE ROLE You will operate as the deal-level project manager and analytical backbone across multiple small-business M&A transactions. You own: • Deal timeline • Buyer/seller coordination • QoE + legal handoffs • LOI → closing milestones • Lender communication (procedural, not sales) Think: transaction coordinator / project manager with strong financial analysis skills. You’ll be responsible for: • Reviewing financial statements for accuracy and completeness • Identifying unusual fluctuations and investigating why • Building financial models with multiple scenarios and assumptions • Ensuring QoE prepares Quality of Earnings Lite assessments timely • Calculating DSCR for bank loans, seller notes, mezzanine, etc. • Calculating IRR, MOIC, equity waterfalls, and investor returns • Inputting buyer and seller financials into acquisition models • Helping students/clients understand the key financial drivers of a business Your job is to make sure no ball gets dropped, the numbers are right, and deals move forward on time. PRIMARY RESPONSIBILITIES1. Deal Execution & Timeline Management You will: • Own the full deal timeline from LOI through closing • Build and maintain deal checklists, milestone trackers, and critical paths • Coordinate all moving parts between buyers, sellers, attorneys, lenders, QoE providers, and internal team • Anticipate bottlenecks and proactively unblock them • Enforce deadlines and keep everyone honest on deliverables 2. Buyer/Seller Coordination You will: • Be the day-to-day point of contact for both buyer and seller on process-related matters • Schedule and coordinate calls, diligence requests, and follow-ups • Draft and organize information requests (financial, operational, legal) • Translate “deal language” into clear action items for both sides • Keep communication tight, professional, and forward-moving 3. QoE, Legal, & Lender Handoffs You will: • Coordinate for QoE Lite and/or third-party QoE teams • Coordinate with legal to ensure documents, schedules, and exhibits are received on time • Package and send lender-ready financials and supporting documents • Track lender requests, conditions, and outstanding items • Ensure everyone (QoE, legal, lender, buyer, seller) is working off the same numbers and assumptions 4. Financial Analysis & Modeling You will: • Review P&Ls, balance sheets, and cash flows for accuracy and completeness • Identify unusual trends, margin changes, or fluctuations — and dig into the “why” • Build and update acquisition models in Excel/Google Sheets • Run scenarios for different deal structures, leverage levels, and earn-outs • Calculate DSCR, coverage ratios, IRR, MOIC, and investor return profiles • Help define and model equity waterfalls and distributions to investors 5. Client Support You will: • Help clients understand what really drives cash flow and value in a business • Explain financial models, outputs, and risks in simple language • Prepare clear summaries that can be used with clients, lenders, partners, and investors • Support Q&A around numbers, structure, and returns REQUIREMENTS (NON-NEGOTIABLE) Experience • 3–7+ years in FP&A, audit, public accounting, transaction services, investment analysis, or similar • Hands-on experience reviewing financial statements • Experience in M&A, due diligence, or lending/credit analysis strongly preferred • Strong background in Excel / Google Sheets and financial modeling Technical Competence You must be genuinely comfortable with: • AI tools: ChatGPT/GPTs, Claude, Gemini (and willing to use them daily) • Document management: Google Drive, Notion, etc. • Spreadsheets: • Advanced formulas (INDEX/MATCH/XLOOKUP, SUMIFS, IF/IFS, etc.) • Pivot tables and charts • Scenario modeling and sensitivity analysis PERSONAL TRAITS You are: • ruthlessly organized • resourceful • a direct communicator • detail-obsessed • solutions-oriented • proactive • decisive • calm under pressure • zero-drama • a builder • loyal • execution-focused If you need hand-holding, this isn’t for you.
