Clean Energy Counsel, a mission-driven law firm dedicated to accelerating the world’s transition away from fossil fuels, seeks to hire a highly qualified junior-level M&A associate with excellent law firm experience and academic credentials to join our firm. We are looking for an attorney who can assist senior attorneys in all manners of mergers and acquisition transactions, including conducting due diligence, drafting ancillary legal documents, researching relevant legal issues, and coordinating the closing process. This position is fully remote – as a distributed law firm, we offer the opportunity to work remotely from wherever you are licensed to practice law. Experience and Qualifications Required Experience: • 3-5 years’ experience in the M&A practice of a recognized national or regional law firm and a demonstrated interest in and desire to serve the clean energy industry. • Hands-on experience leading due diligence, drafting transaction agreements and ancillary documents, and supporting transactional work, preferably with a focus on energy project acquisitions and dispositions. • Ability to loop in and manage required subject matter experts, and manage and track all aspects of the transaction. • Strong deal management, organization, drafting, communication, negotiation, and analytical skills. • Proficiency in legal research and drafting. • Ability to work independently and with a team. • Ability to work and collaborate effectively in a remote work environment. • Admission to and in good standing with the Bar of the applicant’s state of residence. • Dedication to the firm’s mission. Desirable Experience: • Experience working on M&A and related transactions in the clean energy industry. • Knowledge of and experience with areas of federal, stat,e and local law and regulation applicable to the clean energy transition. Duties and Responsibilities • Support our team on M&A transactions in the renewable energy field, in particular, the acquisition and disposition of renewable energy projects. • Draft and review ancillary agreements. • Collaborate with clients, CEC colleagues, and other professionals on M&A matters. • Coordinate and lead M&A due diligence reviews and transactional documentation. • Adhere to Firm policies, practices, and priorities. • Perform other duties as requested by Firm management. Benefits • 1,200 annual billable hour requirement, with hourly bonus for exceeding such requirement • Base salary of $185,000 + .
