Assist with governance, SEC reporting, and equity plans for a public company. | Requires 5+ years in corporate/securities law, JD, active state bar, and experience with complex transactions and securities laws. | Job Description: • Assist with board and committee operations, including preparation of materials, resolutions, written consents, and governance documentation. • Maintain corporate formalities across Teamshares and affiliated entities, ensuring compliance with state, federal, and international requirements. • Help design and implement scalable governance processes to support public company readiness, including SEC reporting preparation, insider trading policies, disclosure controls, and compliance with the 1933 and 1934 Acts. • Partner with Finance and Accounting to support internal controls over financial reporting and audit readiness. • Maintain organized, auditable systems for tracking governance documents, equity records, and regulatory filings. • Provide legal support for debt compliance and capital structure optimization. • Support implementation of processes that will scale in a public-company environment. • Oversee the company’s equity plans and incentive programs. • Advise on issuance, transfer, repurchase, and restructuring of shares and options. • Coordinate with Finance and HR on equity grants and employee equity education. • Help ensure compliance with securities exemptions and public-company reporting obligations. • Advise executive leadership on legal risk with financial, governance, or strategic implications. • Help develop and roll out internal policies reflecting public-company standards. • Coordinate with external counsel efficiently and cost-effectively. • Provide training on governance, equity, and securities compliance. Requirements: • 5+ years of experience in corporate and securities law, including equity administration. • Juris Doctor (JD) from an accredited law school. • Active membership in good standing with at least one U.S. state bar. • Experience managing complex corporate transactions. • Strong knowledge of U.S. securities laws, including the 1933 and 1934 Acts. • Excellent communication, analytical, and organizational skills. • Ability to operate cross-functionally in a fast-paced environment. • Business-oriented mindset balancing legal rigor with practicality.
