The counsel will work closely with the General Counsel and the VP of Business and Legal Affairs to support legal operations across MediaCo Holding Inc. and its affiliated entities. This role spans transactional work, litigation support, FCC and corporate compliance, board governance, contract management, and administrative responsibilities. It is ideal for someone who thrives in a dynamic environment and enjoys working across multiple business units. This role is an exceptional opportunity for a junior/mid-level attorney to gain exposure to a public media company, collaborating closely with senior legal professionals and various internal business leaders to ensure compliance, manage legal risks and support the business’s strategic objectives. Depending on your experience and the needs of the company, this role has potential to grow and expand both in terms of responsibilities and compensation. Key Responsibilities A. Transactional Support * Review, draft, and negotiate a wide range of templatized contracts, including: * Licensing and programming agreements * Non-disclosure agreements * Employment‑related agreements * Talent and independent contractor agreements * Amendments to various contracts * Support M&A activities for MediaCo Holding Inc. and affiliated entities, including: * Assisting with due diligence B. FCC Compliance * Coordinate quarterly Issues/Programs List filings: reminders, review, and confirmation of submission. * Manage annual EEO filings for each station. * Prepare and submit license renewals according to station‑specific deadlines. * Assist with compliance training program. C. Board Governance Support * Prepare Board meeting calendar invitations and notices for the Board and committee meetings. * Prepare Board packages and coordinate presentation materials. D. Document Execution & Workflow Management * Manage electronic signature workflows for filings and contract execution. * Ensure proper routing, tracking, and completion of signature processes. E. Organization of Legacy Documents * Organize and maintain legacy files and records across Company platforms. * Establish and maintain scalable contracting processes and templates. * Provide administrative support for legal documentation. F. Stock Grant Administration * Ensure timely processing and administration of stock grants. Qualifications Required * J.D. from an accredited law school * Bar membership in good standing * Strong drafting, organizational, and project‑management skills. * Meticulous attention to detail and accuracy. * Ability to manage multiple deadlines across diverse subject areas and thrive in a fast-paced environment. * Excellent written and oral communication skills and comfort working with cross‑functional teams. Preferred * Experience in media, entertainment or broadcasting sectors. * Familiarity with FCC regulations, corporate governance, and SOX compliance. * Experience with contract management systems and document‑workflow tools.
