Lead and oversee the company's legal and compliance functions, ensuring regulatory adherence and supporting corporate governance. | Extensive legal experience in corporate, financial, and compliance law, with a focus on SEC reporting, corporate governance, and ideally cryptocurrency regulations. | Bitcoin Depot is seeking a Chief Legal Officer that will lead the company’s legal and compliance functions and staff, oversee and coordinate legal matters, ensure compliance with applicable laws and regulations, and collaborate with outside counsel as needed. The CLO will report to the Chief Operation Officer and serve as a member of the Executive team. This position will work remotely. We currently trade on the NASDAQ under the ticker symbol BTM. Responsibilities Provide management, leadership, strategic direction and oversight for the Legal and Compliance functions and staff. Proactively identify and provide risk-weighted advice to the business Keep informed of relevant new legal developments and the evolving regulatory landscape around financial regulations and digital assets applicable to the company’s business - including federal and state laws, regulatory guidelines, SEC reporting, lending, and cryptocurrency - and advise internal clients accordingly. Partner with others to ensure public company SEC reporting requirements are met. With outside counsel and financial team, prepare and review reports filed with the SEC including disclosures on Forms 10-K, 10-Q, and 8-K, Section 16 reporting and annual proxy statement. Drafting new and review existing contracts and agreements relating to the companies’ operational activities both internally and externally. Partner with external subject matters and engage outside counsel as needed, acting as the interface between business teams and external assistance and managing legal assignments and expenses. Oversee the company’s compliance staff, program, policies, education, procedures and controls to ensure compliance and mitigate risk. Coordinate with the COO and the Executive team to support corporate governance activities and liaison with the Board of Directors. Qualifications Juris Doctor degree and licensed attorney who is a member in good standing with at least one state bar and has ability to get a single client license in CO as needed. 10+ years of related experience as in-house counsel or in a large firm with a professional background in commercial transactions, ideally in the lending industry. Strong knowledge in U.S. financial services regulations, with a working knowledge of corporate, data and consumer protection laws and substantial experience working on SEC reporting, consumer lending regulations, licensing and transactions, Delaware corporate law, M&A, and corporate governance/compliance matters and/or investment management. Knowledge of cryptocurrency compliance and regulations is a plus. Responsibilities Leading the development, implementation, and maintenance of an anti money laundering program within Lux Vending, LLC’s institution. Ensuring compliance with current AML regulations, and other relevant legislation (e.g the USA Patriot Act). Developing and maintaining a risk assessment framework for products and services, clients and customers, and other issues relating to money laundering. Keeping and maintaining records of high risk customers, and reporting suspicious activities to the authorities. Arranging and implementing inspections and audits from third-party organizations, and making compliance recommendations based on their findings. Briefing and reporting to senior management on matters relating to internal AML compliance policies and procedures. Overseeing and implementing an ongoing AML training program for other employees namely initial training and ongoing training. Complete annual independent review. Enhance compliance program with usage of appropriate AML software available as it relates to the needs of Lux Vending, LLC. State Licensing – Ensure that Lux Vending is licensed in the various states it operates in the event that is requires a license Case Management – Manage all investigations ensuring they are readily complete in a timely fashion and that the end result is the best result. Law Enforcement- Cooperating with law enforcement with reasonable requests for general information and information on customers. In addition, the AML Compliance officer will form relationships with law enforcement to collaborate on how to improve communication and our AML program. Lux Vending`s participation in blockchain alliance will serve as a key resource for this. Banks- The AML Compliance Officer will respond to all bank related compliance requests as necessary. In addition, the AML Compliance Officer will assist Lux Vending in expanding its banking relationships as needed. Cryptocurrency Exchanges- The AML Compliance office will take the lead in applying to additional cryptocurrency exchanges as necessary. Other Policies: The AML Compliance Officer will be responsible for maintaining and updating Lux Vending`s Disaster Recovery Policy, Cybersecurity Policy, and Customer Disclosures and Agreements as necessary. Migration of applications/services from cloud providers to AWS. Work alongside the software engineering team to develop CI/CD pipelines Development of Terraform scripts for deployment of application/services in AWS infrastructure. Monitoring and assisting in resolving system issues as they arise. Ensure high availability, performance and cost efficiency of cloud infrastructure. Collaborate with Software Engineering, IT Operations, and Security teams. Qualifications: 3+ years management of DevOps team. Minimum 2+ years experience working with AWS cloud environment (required). Experience with building out secure infrastructure ( AWS well architecture framework). Experience working with ECS clusters and Docker containers. Experience working with Linux operating systems - Ubuntu, Amazon Linux 2 preferred . Working knowledge of firewalls and security such as VPC, NSG, subnet, ACL, and port configuration based on the principle of least access. Experience w/ IaC scripting in Terraform.
