Role Overview: As our Senior Contracts Manager, you’ll own the full lifecycle of government, commercial, and international contracting. You will lead proposal support, negotiation, contract management, compliance, and administration across a diverse customer base, including DoD, civil agencies, commercial enterprises, and international partners. This role is ideal for someone who can operate independently, enjoys building scalable processes from the ground up, and is comfortable switching between FAR-based government contracts, commercial agreements, and international procurement frameworks. This is a remote position, however, we are ideally looking for someone located in, or near, Washington DC or the San Francisco Bay Area. Key Responsibilities: Government Contracting (Primary Focus): Lead contract drafting, review, negotiation, and administration for federal contracts (DoD & Civil). Ensure compliance with FAR, DFARS, agency supplements, ITAR/EAR, cybersecurity clauses (e.g., NIST 800-171), and other regulatory requirements. Support proposal development including contractual volumes, pricing inputs, T&Cs, and risk analysis. Manage subcontracting agreements, flowdowns, NDAs, teaming agreements, and procurement documentation. Maintain contract files, modifications, task orders, deliverables, and reporting requirements. Interface directly with contracting officers, program managers, and government legal teams. Commercial Contracting: Draft, review, and negotiate commercial MSAs, SaaS agreements, SOWs, licensing terms, partnership agreements, and vendor contracts. Build scalable templates, contract playbooks, clause libraries, and approval workflows. Balance risk and speed by designing contracting structures suitable for a high-velocity startup environment. International Contracting: Support deals involving foreign governments, global enterprises, and international partners. Ensure compliance with export controls (ITAR/EAR), sanctions, anti-bribery/anti-corruption laws (FCPA/UK Bribery Act), and local procurement requirements. Coordinate with international counsel and internal stakeholders to manage cross-border risks and approvals. Cross-Functional Collaboration: Work hand-in-hand with Business Development, Finance, Engineering, and Legal on proposals, bids, and program execution. Provide strategic contracting guidance during deal shaping and program planning. Create operational contract management processes that scale with company growth. Regulatory & Compliance Oversight: Oversee compliance with commercial contracting standards and international regulatory frameworks (as applicable to region or contract type). Support adherence to export control regulations (ITAR, EAR) and coordinate with internal compliance teams regarding licensing and jurisdiction requirements. Conduct vendor and subcontractor due diligence, including SAM.gov checks, responsibility determinations, flow-down requirements, and compliance certifications. Monitor changes in applicable U.S. and international regulations and advise on required contract updates or risk implications. Maintain documentation for internal audits, Government Contractor Purchasing System reviews, CPSRs, and regulatory inspections. Federal & Regulatory Compliance Support: Oversee the company’s contractual compliance program, ensuring adherence to federal regulations, certifications, and required representations. Maintain up-to-date knowledge of federal regulatory changes impacting contracting and advise leadership on compliance risks. Support internal audits, external audits, and government reviews related to contracting, export controls, cybersecurity, and regulatory compliance. Collaborate with Finance and Security teams to ensure compliance with cost principles, controlled unclassified information requirements, and federal data-handling standards. Risk Management: Identify contractual, regulatory, and performance risks and escalate issues to senior contracts, legal, or compliance leadership. Assist with development and enforcement of standard contract templates, clauses, and internal controls to reduce risk exposure. Support corrective action plans following audits or non-compliance findings. Work closely with program management, legal, procurement, finance, business development, and export compliance teams. Provide guidance to internal stakeholders on contract interpretation, compliance requirements, flow-down obligations, and regulatory considerations. Required Qualifications: 4-8+ years of experience in contracts management, procurement, or legal support roles. 5+ years’ of professional experience in proposing, negotiating and managing US Government/DoD contracts. 5+ years’ experience with: USG procurement regulations First-hand USG Contract negotiation experience Drafting and Reviewing/Redlining Teaming Agreements and Subcontractor Agreements The government acquisition process and tracking and delivering on FAR/DFARS compliance reporting Reviewing terms and conditions; and performing contract risk analysis Preparing and delivering state of the business documents and presentations Executing and documenting business operations. Track, document, and enforce compliance procedures. Manage end-to-end acquisition actions. Excellent understanding of the government acquisition process. Excellent negotiation, oral, and written communication skills. Strong knowledge of government intellectual property (IP)/software and data rights clauses and IP guidelines. Must understand cost/price analysis concepts and tools and be able to implement and complete analysis on complex supplier proposals and agreements. Ability to understand and analyze government Requests for Proposal (RFP) documents. Strong business acumen with the ability to clearly recognize risk elements in business transactions, providing governance to the program team in carrying out the terms of the contract. Proficient with MS Office and Google Workspace. Preferred Qualifications: Active TS/SCI US Government Security Clearance. Experience with commercial contracting; startup experience a plus. Experience with international contracting, foreign governments, or multi-jurisdictional agreements strongly preferred. Ability to work independently, prioritize effectively, and make judgment calls in ambiguous environments. Represent Procurement in interactions with senior management on a variety of subcontracting matters. Ability to conduct analysis of data and translate the results into actionable deliverables, messages, and presentations (Pivot Tables, charts, graphs, etc.). Demonstrated experience proactively recognizing a challenge or problem and working with a variety of teams and data sources to diagnose the problem and recommend solutions. Strengths in attention to detail, project management and the ability to successfully manage multiple projects simultaneously in an ambiguous environment.
