JD degree, 10+ years active bar membership, strong private equity or structured finance background, and proven negotiation skills in finance transactions.
Moore & Associates (M&A) is an established federal contractor awarded more than twenty (20) contracts to date and the preferred choice for many institutional clients, public authorities, property owners and developers attracted to a boutique firm with an established presence in the Mid-Atlantic and the metropolitan New York areas. M&A is expanding its engagement as legal counsel to federal and state agencies and large institutional financial services companies. The firm is looking to team with at least two (2) or more highly skilled senior attorneys with more than 10 years' experience in international or cross-border finance or private equity transactions including loans to, or equity investments in, domestic or international investment funds. Responsive candidates will have experience in the structure, drafting and negotiation of agreements and all ancillary documentation required to close complex deals involving corporate financing structures for projects including healthcare, agribusiness and financial services projects or to a lesser extent energy, infrastructure and critical minerals projects. Private equity acquisition finance experience would be ideal, especially experience in the purchase of interests in an offshore investment vehicle or directly into an onshore operating company; (ii) ownership of preferred stock, common stock, convertible equity, a combination of stock and debt (convertible or non-convertible), or other equity and quasi-equity instruments; and (iii) with co-investors. Relevant transactions include syndicated loan facilities for commercial real estate projects - Securitization of asset-backed securities - Acquisition financing for private equity deals - Construction loans for multi-state developments. You would be expected to lead negotiations and documentation for finance transactions - Advise clients on compliance with federal regulations or international laws - Supervise junior attorneys and paralegals on transaction-related tasks - Develop and maintain client relationships with institutional clients and public authorities. Responsibility includes: • Provide comprehensive legal counsel on debt finance transactions. • Advise clients on private equity acquisition finance matters. • Draft, review, and negotiate complex financial documents and agreements. • Collaborate effectively with senior counsel and associates on multifaceted legal matters. • Maintain up-to-date knowledge of financial regulations and industry developments. • Draft loan documents • Coordinate closings • Review, draft and manage transaction due diligence • Conduct transaction closings in coordination with title companies • Review and draft organizational and authorizing documents • Ensure that appropriate approvals are in place before transactions are executed • Interpret laws, rulings and regulations in relevant areas of the law • Commitment to achieving the goals of Firm clients Other Duties: • Conduct comprehensive financial analysis to evaluate investment opportunities across global markets • Assist in the management of asset portfolios, ensuring alignment with client objectives and risk tolerance • Support research initiatives to identify emerging trends and potential investment targets in private equity and international finance sectors • Utilize advanced financial software to model scenarios, perform valuations, and prepare detailed reports for stakeholders • Collaborate with cross-functional teams to develop strategic financial plans and investment strategies • Monitor portfolio performance, analyze variances, and recommend adjustments to optimize returns • Participate in due diligence processes for potential investments, including market research and financial assessments • Assist in the preparation of presentations for clients and internal leadership on market outlooks and investment opportunities. Specifically, the ideal candidate would have extensive experience involving one or more of the following transactions: • finance deals that are tax-driven and/or involving third-party tax-equity investors. • loan contracts, security instruments, letters of credit, deposit account control agreements, collateral assignments, and related documents. • intercreditor agreements involving forbearance agreements (to support tax equity investments). • infrastructure projects or equivalent experience. • utilities or rail related projects. Additional Requirements: • Juris Doctor (JD) degree from an accredited law school. • Active bar membership of the relevant jurisdiction for at least ten (10) years is required. • Strong background in private equity or structured finance. • Proven negotiation skills with experience in finance negotiations.
